Sami Ahmed

Founder, TLX Law

Sami Ahmed is the founder of TLX Law, a boutique firm advising companies, founders, and investors on corporate and securities matters — including mergers and acquisitions, financings, governance, fund formation, and regulatory strategy. The practice serves clients across industries, and is especially known for its work in emerging technology, including crypto and artificial intelligence.

Sami advises founders, funds, and institutional clients on transactions and complex legal questions across the company life cycle — from formation and financings to M&A, commercial contracts, and regulatory engagement. His work frequently sits at the intersection of corporate law, securities and commodities regulation, and emerging financial and technological infrastructure.

He has served in a senior legal leadership role at a technology-enabled platform, where he led the legal function and advised across corporate matters, capital markets, product development, strategic transactions, and regulatory engagement. His work included supporting significant capital raises and acquisitions, negotiating commercial and transactional agreements, and designing compliance strategies involving U.S. securities and commodities regulators.

Prior to founding TLX Law, Sami practiced at PAG Law PLLC and at Kellogg, Hansen, Todd, Figel & Frederick, where he worked on high-stakes regulatory, appellate, and commercial litigation matters. His experience includes defending companies and executives in SEC enforcement actions, advising on securities compliance for funds and token projects, and assisting in the defense of a major digital asset issuer in litigation concerning the regulatory status of its token.

Sami began his legal career clerking for the Honorable Timothy Tymkovich, Chief Judge of the United States Court of Appeals for the Tenth Circuit, where he researched and drafted opinions in federal appellate civil and criminal cases.

In addition to his legal practice, Sami is a Lecturer at the Wharton School of the University of Pennsylvania, where he teaches a course on blockchain ventures and regulation and has received a Wharton Teaching Excellence Award based on student evaluations.
